These Terms of Service ("Terms") govern your use of Eleserber's website and B2B apparel manufacturing services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.
2. Company Information
Eleserber is a professional B2B apparel manufacturing company specializing in custom design, OEM/ODM services, quality control, and supply chain management for businesses worldwide. We provide comprehensive manufacturing solutions for various apparel categories including but not limited to casual wear, formal wear, activewear, and accessories.

4. Order Process and Requirements
4.1 Minimum Order Quantities (MOQ)
Our services are designed for B2B clients with minimum order quantities that vary by product type, complexity, and customization requirements. Specific MOQ details will be provided during the quotation process.
4.2 Order Confirmation
All orders must be confirmed in writing with detailed specifications, quantities, delivery requirements, and agreed pricing. Orders become binding upon our written acceptance and receipt of required deposits.
4.3 Design and Specifications
Clients are responsible for providing accurate design specifications, artwork, and technical requirements. Any changes to approved specifications may result in additional costs and delivery delays.
5. Pricing and Payment Terms
5.1 Pricing
All prices are quoted in USD and are subject to change based on material costs, order quantities, customization requirements, and market conditions. Final pricing will be confirmed in writing before order acceptance.
5.2 Payment Schedule
- 30-50% deposit upon order confirmation
- Balance payment before shipment or as agreed in contract
- Sample fees: 100% payment in advance
- Payment methods: Wire transfer, Letter of Credit, or other agreed methods
5.3 Late Payment
Late payments may incur interest charges and may result in production delays or suspension of services. We reserve the right to require full payment before shipment for overdue accounts.
6. Production and Delivery
6.1 Production Timeline
Production timelines are estimates based on order complexity, quantity, and current production capacity. Actual delivery dates will be confirmed upon order acceptance and may be subject to adjustment due to unforeseen circumstances.
6.2 Delivery Terms
Delivery terms will be specified in each contract (FOB, CIF, DDP, etc.). Risk of loss transfers according to agreed Incoterms. Clients are responsible for customs clearance and import duties unless otherwise specified.
6.3 Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, labor disputes, or supply chain disruptions.
7. Quality Control and Warranties
7.1 Quality Standards
We maintain strict quality control procedures and industry-standard testing protocols. All products undergo inspection before shipment to ensure compliance with agreed specifications and quality standards.
7.2 Warranty
We warrant that products will conform to agreed specifications and be free from material defects in workmanship for 90 days from delivery. This warranty does not cover normal wear, misuse, or damage from improper care.
7.3 Claims and Returns
Quality claims must be reported within 7 days of delivery with supporting documentation. Return authorization is required for all returns. Clients are responsible for return shipping costs unless the return is due to our manufacturing defect.
8. Intellectual Property
8.1 Client IP Rights
Clients retain ownership of their intellectual property, including designs, trademarks, and proprietary information. We agree to maintain confidentiality and not reproduce client designs for other parties.
8.2 Our IP Rights
We retain ownership of our manufacturing processes, techniques, and any improvements or modifications we develop. Clients may not reverse engineer or copy our proprietary methods.
8.3 Indemnification
Clients agree to indemnify us against any claims of intellectual property infringement related to their designs or specifications. We will notify clients promptly of any such claims.
9. Limitation of Liability
Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific order giving rise to the claim. We are not liable for indirect, consequential, or punitive damages, including lost profits or business interruption, regardless of the theory of liability.
10. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and business information disclosed during the course of our business relationship. This obligation survives termination of our business relationship for a period of 5 years.
11. Termination
Either party may terminate ongoing business relationships with 30 days written notice. Termination does not affect existing orders or obligations. Upon termination, each party must return or destroy confidential information belonging to the other party.
12. Governing Law and Disputes
These Terms are governed by the laws of [Your Jurisdiction]. Any disputes arising from these Terms or our business relationship shall be resolved through binding arbitration in accordance with the rules of [Arbitration Institution]. The arbitration shall be conducted in English.
13. Modifications
